Practice Areas
Tax
Planning, structuring and controversy readiness connected to the commercial purpose and governance of each decision.
Tax analysis is most useful when it begins before the structure becomes difficult to change. We connect the tax question to the business purpose, cash flows, governance, contractual allocation and evidence that support the intended treatment.
Matters we support
Transaction and ownership structuring
Reviewing alternatives for acquisitions, disposals, investments, reorganizations and ownership transitions, including the legal steps and approvals each alternative requires.
Tax governance
Establishing who owns material tax decisions, which assumptions require validation and what documentation should support the position over its life cycle.
Business-model review
Examining how functions, assets, risks, contracts and payment flows interact when an organization changes the way it operates or enters a new relationship.
Controversy readiness
Organizing the factual record, chronology, documents and decision rationale before a question becomes an audit or dispute. Readiness does not assume controversy; it reduces the cost of reconstructing the past under pressure.
Questions we put on the table
- What is the non-tax purpose of the proposed action?
- Which facts determine the treatment, and where are those facts recorded?
- Does the legal documentation match the intended operating model?
- Who must approve, implement and monitor the position?
- Which assumptions could change, and what review trigger should follow?
Advice that can be operated
The final position should identify the chosen route, the alternatives considered, the conditions supporting it and the actions required after implementation. Where accounting, valuation or foreign-law input is necessary, that dependency is defined rather than implied.
